Subpay and Subpay.ai are trade names of Jones Creek Holdings, LLC, a Florida limited liability company (“Subpay,” “we,” “us,” or “our”). References to Subpay.ai in these Terms mean Jones Creek Holdings, LLC.
Subpay.ai is a document organization platform designed to assist construction subcontractors with document management, change order tracking, and workflow efficiency.
Subpay.ai is strictly a document organization platform, not accounting software, a financial system of record, or tax software. Furthermore, we are not a law firm and do not provide legal, accounting, financial, or tax advice. You are solely responsible for maintaining your own certified accounting software and ensuring all financial data, contract values, and change orders organized through Subpay.ai are accurately recorded, verified, and reconciled within your official accounting systems according to applicable laws and regulations.
You retain all ownership rights to the documents, contracts, blueprints, and data you upload. By uploading files, you grant Subpay.ai a limited, non-exclusive, secure license to host, process, and analyze this content solely for the purpose of providing the Service to you. You represent and warrant that you have all necessary rights, permissions, and authority to upload any documents to the Service without violating any third-party confidentiality agreements or non-disclosure agreements (NDAs).
Subpay.ai utilizes artificial intelligence to assist in classifying documents (e.g., distinguishing between pending RCOs and executed GC Change Orders). While we strive for high accuracy, AI classifications are provided for organizational convenience and informational purposes only. You are solely responsible for human verification of the accuracy of all document states, contract values, and classifications before relying on them for business, financial, or legal purposes. Subpay.ai accepts no liability for operational or financial discrepancies arising from unverified AI classifications.
Access to certain features requires a paid subscription. All billing is handled securely via Stripe. You agree to provide current, complete, and accurate purchase and account information. Subscription fees are non-refundable except as explicitly required by law.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SUBPAY.AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
To the maximum extent permitted by applicable law, Subpay.ai and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, whether incurred directly or indirectly, resulting from your use of or inability to use the platform.
You agree to indemnify, defend, and hold harmless Subpay.ai, its affiliates, and its operators from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right, including intellectual property or confidentiality rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Florida, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
