Terms of Service

Effective July 2, 2026

1. The service

Subpay (“the Service”) is construction billing software for subcontractors: pay applications (AIA G702/G703), change orders, retainage tracking, and related reporting. The Service is provided by Subpay (“we,” “us”). By creating an account you agree to these terms on behalf of yourself and the organization you register.

2. Subscriptions, trials, and billing

The Service is offered as a monthly subscription billed per organization through Stripe. New organizations receive a 14-day free trial; a payment method is collected at signup and the subscription begins automatically when the trial ends unless canceled first. You can cancel at any time from the billing page — cancellation stops future charges and takes effect at the end of the current billing period.

If payment fails or a subscription ends, your account becomes read-only: you can view and export your data, but not add or edit records, until billing is restored. We do not delete your data when a subscription lapses.

3. Your data

Your project, billing, and document data belongs to you. We use it only to operate the Service (see the Privacy Policy). You can export your data at any time and may request deletion of your account and data by contacting us.

4. Acceptable use

You agree not to misuse the Service: no attempting to access other organizations' data, probing or disrupting the Service, reselling access, or uploading unlawful content. AI-assisted features (such as document import) are subject to fair-use limits.

5. Professional responsibility

The Service prepares billing documents based on the information you provide. You are responsible for reviewing every document before submitting it to a general contractor, owner, or government body, and for compliance with your contracts and applicable law (including lien and notice statutes). AI-extracted values are suggestions that you confirm; the Service is not legal, accounting, or professional advice.

6. Availability and changes

We aim for high availability but the Service is provided “as is” without warranties of any kind. We may update features and these terms; material changes will be communicated through the Service or by email, and continued use constitutes acceptance.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the Service is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or missed statutory deadlines.

8. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these terms. Sections 3, 5, and 7 survive termination.
